1. General Terms

1.1. These terms and conditions (“Agreement”) set forth the terms and conditions under which Hispanic Solution LLC (“Hispanic Solution”) will provide its services to you (“Client”). By engaging our services, the Client agrees to be bound by this Agreement.

1.2. Hispanic Solution reserves the right to modify, amend or update these terms and conditions at any time and in its sole discretion. Any such modifications, amendments or updates shall be effective immediately upon posting on the Hispanic Solution website.

2. Services

2.1. Hispanic Solution offers web design and digital marketing services to the Client on an annual and bi-annual membership basis.

2.2. The services include, but are not limited to, website design and development, website hosting, website maintenance, search engine optimization, pay-per-click advertising, and social media management.

2.3. Hispanic Solution offers a positioning package that includes the creation of business profiles on local directories such as Yelp, Manta, Bing Places for Business, Google My Business, and ez local. If any of these directories are not available, Hispanic Solution will replace them with another local directory.

2.4. Hispanic Solution provides courtesy hosting of the Client’s website for the duration of the membership period. For the first year, the cost of the domain is included in the membership fee. After the first year, the Client must renew the domain and hosting with a 10% discount.

2.5. If the Client wishes to transfer their domain, they must pay the costs associated with the transfer, which is a minimum of $50. Upon request, Hispanic Solution will provide the Client with a backup of their web design for the purpose of transferring to a new provider. Hispanic Solution does not provide access to its hosting or domain.

3. Payments

3.1. The Client agrees to pay Hispanic Solution the fees set forth in the selected membership plan. Fees are due at the start of the membership period.

3.2. Hispanic Solution reserves the right to suspend or terminate its services to the Client in the event of non-payment.

4. Intellectual Property

4.1. The Client represents and warrants that it has all necessary rights, permissions and consents to use any content provided to Hispanic Solution for use on its website or marketing materials.

4.2. The Client agrees that Hispanic Solution owns all right, title and interest in any and all works created by Hispanic Solution under this Agreement.

5. Confidentiality

5.1. Hispanic Solution agrees to keep confidential all information provided to it by the Client, including but not limited to business information, financial information, and personal information of the Client and its customers.

5.2. The Client agrees to keep confidential all information provided to it by Hispanic Solution, including but not limited to trade secrets, know-how, and confidential information.

6. Indemnification

6.1. The Client agrees to indemnify, defend and hold harmless Hispanic Solution, its officers, directors, employees, and agents from any and all claims, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from or relating to the Client’s use of Hispanic Solution’s services.

7. Limitation of Liability

7.1. In no event shall Hispanic Solution be liable for any direct, indirect, incidental, special, punitive or consequential damages arising from or relating to this Agreement or the use of Hispanic Solution’s services.

8. Termination

8.1. Either party may terminate this Agreement upon written notice to the other party.

8.2. Upon termination, the Client agrees to pay all fees due and owing to Hispanic Solution for services rendered up to the effective date of termination.

9. Governing Law

9.1. This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions.

10. Dispute Resolution

10.1. In the event of any dispute arising from or relating to this Agreement, the parties agree to first attempt to resolve the dispute through good faith negotiations.

10.2. If the parties are unable to resolve the dispute through negotiations, the parties agree to submit the dispute to mediation in Jacksonville, Florida.

11. Entire Agreement

11.1. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.

11.2. No amendment or modification to this Agreement shall be valid unless it is in writing and signed by both parties.

By engaging the services of Hispanic Solution LLC, the Client agrees to be bound by these terms and conditions.
